Regulatory Arbitrage and Shell Company Loop
When governments impose bans on specific entities or origins, companies circumvent restrictions by creating nominally independent subsidiaries or affiliated entities that are substantively controlled by the parent company. The stricter the ban, the stronger the incentive to arbitrage, forcing governments to escalate from 'blocking specific targets' to 'closing structural loopholes.'
